Appointment of a Member of the Supervisory Board PKP CARGO S.A. under restructuring

The Management Board of PKP CARGO S.A. under restructuring (the “Company”) hereby announces that on December 29, 2025, the Extraordinary General Meeting of the Company, pursuant to Article 385 §1 of the Commercial Companies Code, appointed Prof. Jacek Męcina as a Member of the Supervisory Board of the Company for the joint eighth term of office.

Prof. Jacek Męcina meets the independence criteria for an independent member of the Supervisory Board.

According to the submitted statement, Prof. Jacek Męcina does not conduct any activity competitive to the Company, does not participate in a competitive company as a partner in a civil law partnership, partnership, capital company, does not participate in any other competitive legal entity as a member of its governing body, and has not been entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.

Information regarding the education, qualifications, and professional career of Prof. Jacek Męcina is provided by the Company in the appendix to this report.
