Supervisory Board

Educational background: Master’s degree in economics from Warsaw School of Economics (Management and Marketing) and Institute of Organization and Management in Industry “ORGMASZ” (Internal Audit and Control).  Scholarship holder of the first ECESP Program funded by the Congress of the United States of America and implemented by Georgetown University, Washington D.C. USA. Graduate of Small Business Management at Kings River Community College – Reedley, California. Mr. Nadolnik took part in numerous national and international courses and trainings.

Professional experience: Many years of professional experience in various management positions in public institutions, supported not only by the development of the rules for managing State Treasury assets, corporate governance in effect in State Treasury companies, but also by working for supervisory boards and cooperation with local government units.

From 1993 to 1994, Mr. Nadolnik worked for the Marketing Department of the Horticultural and Beekeeping Cooperative in Tarnów, and then until 1996 he was a specialist and acting Office Director at the Ministry of Agriculture and Food Administration. In 1996, he worked for the Ministry of Ownership Transformation as Deputy Director of the Administration and Budget Department. From 1996 to 2004, he was Deputy Director of the Finance and Budget Department at the Ministry of Finance. Subsequently, he headed the ministry’s Public Aid Office until 2006. From 2007 to 2008 he served as Secretary of the Legionowo Powiat. In 2008, he served as Undersecretary of State in the Ministry of Agriculture and Rural Development responsible for overseeing the Agency for Restructuring and Modernisation of Agriculture, subsequently becoming Vice President of that Agency. In 2013, he took the position of Advisor at the Ministry of State Treasury and Director of the Department of Post-Privatization Activities. From 2016 to 2018, he worked for the FAPA Foundation – Polish Chamber of Cooperative Banking as Director of the Cooperative Banking Development Team. From 2019 to 2024 he served on the Warsaw City Assets Management Board as the Investment Director. Since April 2024, he has been working for the Ministry of Infrastructure as Deputy Director of the Corporate Governance Department. Mr. Nadolnik has extensive experience in the area of corporate governance, gained through his work on the Supervisory Boards of companies such as: Polimex-Cekop sp. z o.o. in Warsaw, Bank Gospodarki Żywnościowej S.A. in Warsaw, Agencja Rozwoju Przemysłu S.A. in Warsaw, Uzdrowisko Krynica Żegiestów S.A. in Krynica, Rolno-Spożywczy Rynek Hurtowy S.A. in Radom, Polskie Górnictwo Naftowe i Gazownictwo S.A. in Warsaw, ENERGA S.A. in Gdańsk, Krajowa Spółka Cukrowa S.A. in Toruń, where he represented the Minister in charge of the State Treasury.

Mr. Stępień is a graduate of the Faculty of History at the University of Warsaw and the Faculty of Political Science at the Aleksander Gieysztor Academy of Humanities. He completed a post-graduate management studies at the University of Gdańsk and obtained an MBA degree.

He began his career as an advisor in the Office of the Council of Ministers before taking on roles such as Chief Specialist for Media Cooperation at Österreich Werbung – Austrian Tourist Information Centre, President of the Management Board of the Warsaw Development Foundation, and Deputy President of the Voivodeship Fund for Environmental Protection and Water Management in Warsaw. He also served as a Member and later President of the Management Board of MPR “Sarmatia” Sp. z o.o. Additionally, he has been a long-time member of the Supervisory Boards of institutions such as the Palace of Culture and Science in Warsaw and the Mazovian Bródnowski Hospital.

Since 2012, he has been actively involved in the railway industry, initially as Director of the Commercial Office at Koleje Mazowieckie. Since June 2017, he continues to hold the position of President of Koleje Mazowieckie.

An expert in corporate governance and a member of the Association of Independent Supervisory Board Members. He currently serves as an independent member of Supervisory Boards and Audit Committees for listed companies, including Alumetal, Medicalgorithmics, Polwax, Arteria. He previously held Supervisory Board and Audit Committee positions at companies such as Voxel, Develia, Robyg, Enter Air, EMC Instytut Medyczny, Braster, Travelplanet.pl, Elektrobudowa, Armatura Kraków, ARM Property.

Active in the financial market since 1995, he served as Investment Director at the PZU Group from 2012 to 2016, overseeing the Long-Term Equity Portfolio. In this role, he was responsible for the Group’s largest equity investment projects and coordinated investments in this asset class across the organisation.

Previously, as a long-standing Director of the Analysis and Corporate Oversight Team at the PZU Group, he was responsible for analysing and selecting companies for investment portfolios and overseeing portfolio companies. He has extensive experience in investment project management, market analysis, company valuation, securities portfolio management, and supervising merger and acquisition processes.

He is a graduate of the Warsaw School of Economics and the Krakow Academy of Economics.

Marzena Piszczek, PhD in economic sciences, works at the Cracow University of Economics. Specializes in the following areas: corporate governance, corporate finance, public finance. Cooperation with practice – major projects: implementation of modern budgeting methods; consolidation and restructuring of the Polish chemical sector, banking sector; implementation of economic standards for the nuclear sector in Poland, supervision over several dozen companies as Director of the Delegation of the Minister of State Treasury. Dr Piszczek held a number of positions: president of MARR SA, vice-president of finance, chairwoman of supervisory boards of significant public companies in Poland such as PZU SA, PKO BP SA, Grupa Azoty SA; member of audit and nomination committees, among others. She has cooperated with ICMA, USAID, Open Society Institute. She worked as an expert for the Chancellery of the Prime Minister of the Republic of Poland and for the Chancellery of the Senate of the Republic of Poland.

A Master of Law with over a decade of experience as a practicing legal counsel. Since January 2019, he has been a managing partner at one of the largest law firms in Łódzkie Voivodeship, according to the annual Ranking of Law Firms by Rzeczpospolita. His practice focuses on business and commercial law, with particular expertise in legal services for mergers and acquisitions.

Piotr has held various supervisory roles, serving as Chairman, Vice-Chairman, and Member of Supervisory Boards for several companies in both the private and public sectors. He is also a member of the Professional Image and Information Committee of the Council of the Regional Chamber of Legal Counsel in Łódź.

Mr. Tomasz Pietrek has been professionally associated with the rail industry for 32 years. He started his professional career in 1990 at the Rail Vocational School in Tarnowskie Góry. In 2010, he graduated from a technical secondary school as an electrical technician specializing in power electronics. A diesel and electric traction train driver at the Silesian Unit of PKPCARGO S.A. in Tarnowskie Góry.

He has acquired extensive experience in representing the interests of staff vis-à-vis employers. Chairman of the Inter-Company Trade Union of Train Drivers in Tarnowskie Góry. Participated in numerous negotiations, including on working out the collective bargaining agreement in the Company. For many years, he served as Chairman of the Freight Transport Sector at the Trade Union of Train Drivers. Currently serving as Vice-Chairman of the Trade
Union of Polish Train Drivers of the 9th term of office.

For over 26 years, Prof. Jacek Męcina has been successfully combining academic activity with
supporting Polish business in areas such as labor law, employment restructuring, optimization of
organizational structures, and organizational and legal changes adapted to changing economic
conditions. He has an excellent knowledge of the business environment and needs, as a
representative since 2000 of the Lewiatan Confederation, the largest business representation in
Poland. Prof. J. Męcina’s distinctive competence lies in planning economic processes in such a way
that they not only meet the highest standards of economic and labor law, but also take place in
dialogue and with respect for the interests of all parties—employers and employee representatives.
Currently, Prof. J. Męcina is the head of the Department of Labor System and Labor Market. In
2020-2025, he was the representative for cooperation with the business environment – a lawyer,
social politician, expert in the field of law and labor and labor relations, as well as employment and
remuneration policy. His research interests focus on employment and labor market policy, labor
law and collective labor relations, organizational and legal changes in companies, and the conditions
for social dialogue at the company, industry, and national levels. His recent research and expert
activities include the complexity of industrial policy and its impact on employment, investment
support, the impact of digitization, robotization, and automation on the labor market, and
investments in the quality of work in Poland. He is the author of over 100 books, articles, and
studies.
Prof. J. Męcina’s academic work was closely linked to economic realities. He was Deputy Director
for Financial Affairs at the Institute of Labor and Social Affairs (1997-2000) and Director of the
Institute of Social Policy at the University of Warsaw from 2016 to 2019. He combines his research
passions with involvement in public service as a member of the Tripartite Commission for Social
and Economic Affairs (since 2004), Deputy Minister of Economy (2005), and Secretary of State in
the Ministry of Labor and Social Policy in 2012-2015. Currently a member of the Social Dialogue
Council and Chairman of the Labor Law Task Force, advisor to the Board of the Lewiatan
Confederation.
For over 25 years, Prof. J. Męcina has been combining scientific activity with business activities as
an advisor to the Lewiatan Confederation, supporting restructuring processes, implementing
organizational changes, and actively participating in negotiations with social partners. He has
collaborated with many economic entities from the industrial, automotive, aviation, and railway
sectors, as well as banks, financial institutions, and insurance companies. He has extensive business
and public experience, having previously served as Secretary of State and Undersecretary of State,
Member of the Financial Supervision Authority, Chief Financial Officer, Chief Executive Officer;
Member of Supervisory Boards in the enterprise sector, including international companies DAS.
S.A., domestic companies PZU Zdrowie, Wellcome Sp. z o.o., private companies, and Public
Funds – PFRON.
In his business activities, Prof. Jacek Męcina has collaborated with over 30 companies from various
sectors of the economy, effectively implementing HR standards, cooperation with social partners,
and restructuring or organizational change programs – including banks and insurance companies,
the infrastructure sector – PKP S.A. Group, PKP Intercity S.A., PPL S.A., Wellcome Sp. z o.o.,
manufacturing companies – Fiat Autor Poland S.A. Solaris Sp. z o.o., Bridgestone Sp. z o.o., trading
companies – RUCH S.A., Metro Group Sp. z o.o., Real Sp. z o.o., Auchan Polska Sp. z o.o., and
many foreign companies from Germany, the UK, Japan, and the US.
