Resolution of the Board of National Depository for Securities on acceptance for deposit of series A and B ordinary bearer shares in the company PKP CARGO S.A.

The Management Board of PKP CARGO S.A. (“Company “) announces that on 23 October 2013 it received the Resolution No. 786/13 of the National Depository for Securities (“KDPW”) dated 23 October 2013, in which KDPW resolved to accept for deposit 21.669.008 ordinary bearer shares of series A and B in the Company at a nominal value of 50 zł each, and to allocate to them the code number PLPKPCR00011, on the condition that the aforementioned shares will be admitted to trading on a regulated market. The ordinary bearer shares of series A and B shall be registered within KDPW within three days of the day on which KDPW receives the documents confirming the admission of the shares to trading on a regulated market.
In the event GPW decides to introduce to trading not all of the aforementioned shares or not all shares referred to in Resolution No. 751/13 of KDPW dated 9 October 2013 (Resolution on registration of 18.418.656 ordinary bearer shares at a nominal value of 50 zł each, bearing a code PLPKPCR00011 and registration of 3.250.351 ordinary bearer shares at a nominal value of 50 zł each coded PLPKPCR00029), the shares not introduced to trading will be registered under code PLPKPCR00011, provided that GPW decides on their introduction to trading on the same regulated market, but not earlier than on the date specified in the decision on introduction of the shares to trading.
Information on registration of ordinary bearer shares of series A and B coded PLPKPCR00011 will be passed in the form of KDPW statement, of which the Company will inform in a separate current report.
The Resolution indicated that it shall enter into force on the date of adoption.
