Constitution of the 9th Term of the Supervisory Board of PKP CARGO S.A. under restructuring
The administrator of the reorganization estate of PKP CARGO S.A. under restructuring
(the “Company,” “PKP CARGO”) announces that, at its meeting on June 23, 2026, the Company’s Supervisory Board adopted Resolution No. 3/ IX/2026 regarding the constitution of the Supervisory Board for its ninth term through the election of the Chairman and Vice Chairman of the Board.
Pursuant to the aforementioned Resolution, the Supervisory Board elected:
– Mr. Bogusław Nadolnik to serve as Chairman of the Supervisory Board,
– Ms. Monika Starecka to serve as Vice Chairwoman of the Supervisory Board.
The current composition of the PKP CARGO Supervisory Board for the 9th term is as follows:
1. Mr. Bogusław Nadolnik – Chairman of the Supervisory Board of PKP CARGO S.A. under restructuring;
2. Ms. Monika Starecka – Vice Chairwoman of the Supervisory Board of PKP CARGO S.A. under restructuring;
3. Mr. Michał Wnorowski – Member of the Supervisory Board of PKP CARGO S.A. under restructuring;
4. Ms. Marzena Piszczek – Member of the Supervisory Board of PKP CARGO S.A. under restructuring;
5. Mr. Robert Stępień – Member of the Supervisory Board of PKP CARGO S.A. under restructuring;
6. Ms. Anna Ślęzak – Member of the Supervisory Board of PKP CARGO S.A. under restructuring;
7. Mr. Jacek Męcina – Member of the Supervisory Board of PKP CARGO S.A. under restructuring;
8. Mr. Piotr Babski – Member of the Supervisory Board of PKP CARGO S.A. under restructuring;
9. Mr. Leszek Miętek – Member of the Supervisory Board of PKP CARGO S.A. under restructuring
At the same time, during its meeting on June 23, 2026, the Supervisory Board appointed the Audit Committee for the 9th term, with the following members:
– Mr. Michał Wnorowski,
– Ms. Marzena Piszczek,
– Ms. Monika Starecka,
– Mr. Piotr Babski,
– Ms. Anna Ślęzak.
The independence criteria for members of the Audit Committee set forth in § 20 and § 21 of PKP CARGO’s Articles of Association, including those arising from Article 129(3) of the Act of May 11, 2017, on Certified Public Accountants, Audit Firms, and Public Oversight, are met by Ms. Marzena Piszczek and Mr. Michał Wnorowski.
The PKP CARGO hereby announces that, in accordance with Article 19(3) of the Company’s Articles of Association, Mr. Leszek Miętek serves as the employee representative on the Supervisory Board of the 9th term.
