Filing a lawsuit against the State Treasury regarding a claim for damages for the so-called coal decision

The Management Board of PKP CARGO S.A. under restructuring (the “Company”, “PKP CARGO”) announces that on December 23, 2025, the Company field a lawsuit against the State Treasury concerning a claim for compensation for the so-called coal decision. The lawsuit was filed with the Regional Court in Warsaw, Civil Division, al. Solidarności 127, 00-898 Warsaw, with the Company being represented in the proceedings by the Administrator of the restructuring assets of PKP CARGO S.A. under restructuring. The value of the dispute in PLN 1,522,424,000.

By this lawsuit, PKP CARGO is seeking compensation from the State Treasury – the Prime Minister and the Minister of State Assets – for damages incurred as a result of the tasks imposed on the Company by the decision of the Prime Minister of July 25, 2022, No. BPRM.5020.19.2.2022(1), amended by the decision of the Prime Minister of October 6, 2022, No. BPRM. 5020.19.2.2022, and the failure of the State Treasury to fulfill its obligation to conclude an agreement with the Company regulating the rules for financing the implementation of the task covered by the above-mentioned decision, resulting from the provisions of the Act of April 26, 2007, on crisis management.

The above action is a consequence of the failure to pay the amount claimed in the payment request submitted by the Company on December 5, 2025, which was announced in current report No. 120/2025 on December 5, 2025.
