Dismissal of the President of the Management Board and delegation of a Member of the Supervisory Board to temporarily perform the function of President of the Management Board of PKP CARGO S.A. under restructuring

The Management Board of PKP CARGO S.A. under restructuring (the “Company”) hereby announces that on December 22, 2025, the Supervisory Board of the Company dismissed Ms. Agnieszka Wasilewska-Semail from the position of President of the Management Board of PKP CARGO S.A. under restructuring, effective as of December 22, 2025.

The Supervisory Board resolution comes into force on the date of its adoption. The reasons for the dismissals were not provided.

At the same time, on December 22, 2025, the Company’s Supervisory Board adopted a resolution in accordance with which it decided to delegate Ms. Monika Starecka, Member of the Supervisory Board of PKP CARGO S.A. under restructuring, to temporarily, i.e. from December 23, 2025 to March 22, 2026, perform the duties of a Member of the Company’s Management Board and to entrust her with the duties of the President of the Management Board.

According to her declarations, Ms. Monika Starecka does not conduct any business competitive to the Company’s business and does not participate in a competing company as a partner in a civil law partnership, partnership, or corporation. She also does not participate in a competing legal entity as a member of its governing body. She is not listed in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.
