Consent of the Supervisory Board and Management Board of PKP CARGO S.A. under restructuring to conclude an agreement with PKP PLK S.A.
The administrator of the rehabilitation estate of PKP CARGO S.A. under restructuring (the “Company”, the “Issuer”) announces that on December 1, 2025, the Company’s Supervisory Board approved the signing of and Agreement on the use of capacity for the transport of goods in the 2025/2026 train timetable (“Agreement”) between PKP CARGO S.A. under restructuring and PKP Polskie Linie Kolejowe S.A. with its registered office in Warsaw (“PKP PLK”). The Agreement will be in force from December 14, 2025, to December 12, 2026.
The subject of the Agreement is the provision of railway infrastructure by PKP PLK to the Company for the purpose of using the allocated capacity for train movements, performing maneuvers, parking railway vehicles, and using service infrastructure facilities in the 2025/2026 train timetable, In addition, PKP PLK will provide the Company with data on the planned and actual train timetable and the operational work performed by its trains.
The estimated value of the Issuer’s liabilities toward PLK PKP under the Agreement, during its term, amounts to a total of PLN 406.8 million net, i.e. PLN 500.4 million gross. The change in the estimated value of the Agreement does not constitute an amendment to the Agreement and does not require a written form or an electronic form with a qualified electronic signature.
The Agreement provides for contractual penalties for the Company for violations of the rules for using the railway infrastructure, as well as for operational difficulties resulting from downtime. In addition, it allows the Company to impose penalties for canceling train routes for reasons attributable to PKP PLK and for improper maintenance of the infrastructure.
The agreement in question is a recurring agreement concluded by the Company on an annual basis. The Company announced the conclusion of the previous agreement with PKP Polskie Linie Kolejowe S.A. in Current Report No. 111/2024 of November 27, 2024.
