Submission of a request to the Judge-Commissioner to extend the deadline for PKP CARGO S.A., which is undergoing restructuring, to submit the final version of the Arrangement Proposals

Administrator of the sanation estate of PKP CARGO S.A. under restructuring (the “Administrator”; “the Company”) announces that on August 31, 2026, the Company’s Management Board filed a motion with the Judge-Commissioner to extend the deadline for submitting the final version of the Arrangement Proposals until September 15, 2026.
The explanatory memorandum to the motion states that work and consultations are still ongoing to finalize the terms of the Settlement Proposals, including taking into account the results of ongoing discussions with the Creditors and analyses regarding possible modifications to the proposals.

In addition, on August 25, 2026, an agreement was signed with a brokerage firm, as disclosed by the Company in Current Report No. 69/2026, regarding the brokerage firm’s participation in the process of issuing shares and raising funds. For this reason, any potential modifications to the Arrangement Proposals require analysis by the brokerage firm from the perspective of their impact on the terms of the issuance and the raising of financing. The brokerage firm’s position will be a factor in further discussions regarding the final form of the Arrangement Proposals, which requires additional time to complete the process.

The proposed deadline also takes into account the need to prepare the necessary documentation and obtain the relevant corporate approvals, in particular from the Supervisory Board, as well as from other corporate bodies.

The previously set deadline for the Company to submit the final version of the Arrangement Proposals is August 31, 2026, and was established by the Judge-Commissioner’s order dated June 30, 2026, as the Company disclosed in Current Report No. 61/2026.

In light of the justification provided, the Company’s Management Board believes that the requested extension is fully justified and is in the best interests of both the Creditors and the Company.
