Withdrawal of the application for approval of the prospectus regarding the public offering of Series N shares pursuant to Resolution No. 39/2026 of the Extraordinary General Meeting held on June 26, 2026

The Administrator of the sanation estate of PKP CARGO S.A. under restructuring (the “Company”) announces that on October 23, 2026, a decision was made to withdraw the application submitted to the Polish Financial Supervision Authority (“KNF”) for approval of the prospectus regarding the public offering of Series N shares pursuant to Resolution No. 39/2026 of the Extraordinary General Meeting of June 26, 2026, published in Current Report No. 58/2026.

The planned offering was intended to finance the cash portion of the repayments provided for in the Arrangement Proposals submitted by the Company in the course of the restructuring proceedings. The decision stems from the lack of sufficient grounds for a reliable assessment of the feasibility of achieving the objectives of the planned public offering, which is linked to the content of the Arrangement Proposals that have not yet been approved by the creditors. At the same time, the Administrator and the Company maintain their intention to use the capital increase as a source of financing for the cash portion of the repayments provided for in a future arrangement.

The deadline for submitting an application for approval of the prospectus pursuant to Resolution No. 39/2026, as provided for in Article 431, § 4 of the Commercial Companies Code, expires on October 26, 2026. Failure to submit the application by this deadline means that the planned offering of Series N shares will not be conducted pursuant to this resolution in its current form.

The Company will provide updates on further significant developments regarding the preparation of financing and the progress of the restructuring proceedings in accordance with applicable regulations.
