Conclusion of the Creditors’ Voting Process on the Settlement Proposals of PKP CARGOTABOR Sp. z o.o. under restructuring

The administrator of the restructuring estate of PKP CARGO S.A. under restructuring notes, with reference to Current Report No. 29/2026, that the Creditors’ Committee of PKP CARGOTABOR Sp. z o.o. under restructuring (“PKP CARGOTABOR”) has filed Arrangement Proposals with the court, that today it was informed that on August 31, 2026, the Administrator of the PKP CARGOTABOR restructuring estate submitted to the Judge-Commissioner a report on the voting process regarding the Arrangement Proposals for the Creditors of PKP CARGOTABOR (“Arrangement Proposals,” “Arrangement”).

As a result of the vote, the PKP CARGOTABOR Creditors’ Council’s Settlement Proposals were approved by the Creditors. Of the 271 Creditors who cast valid votes, 250 voted in favor of the Arrangement (i.e., 92.25% of Creditors in favor of the Arrangement), representing claims totaling over 154 million PLN (i.e., 97.32% in favor of the Arrangement in terms of principal amount).

This is the first formal step confirming the successful completion of the voting phase on PKP CARGOTABOR’s Settlement Proposals as part of the restructuring proceedings.

After the Judge-Commissioner reviews the report submitted by the Administrator regarding the voting process on the Arrangement, including the voting results, the Judge-Commissioner will issue a ruling confirming the acceptance of the Arrangement, and the Arrangement will then be submitted to the Restructuring Court for approval.

Once any decision approving the Arrangement becomes final, PKP CARGOTABOR will be able to proceed with the implementation of the Arrangement, in accordance with the terms and within the timeframes specified therein, including the repayment of the Creditors covered by the Arrangement.
