Conclusion of a framework agreement in the field of rail transport for national defense purposes

The Administrator of the sanation estate of PKP CARGO S.A. in restructuring (“the Company”, “PKP CARGO”) announces that on May 11, 2026, an agreement was concluded between PKP CARGO S.A. under restructuring and the Minister of National Defense (“MON”) setting out the framework for cooperation between the Parties in the area of rail transport for national defense purposes (“Agreement”).

The conclusion of the Agreement stems from the need to further strengthen the transport and logistics capabilities used for national defense purposes, including ensuring adequate military mobility in a changing geopolitical environment.

The purpose of the Agreement is to define the areas of cooperation between PKP CARGO and the Ministry of National Defense, including in particular:
• the development of transport capabilities used for national defense purposes, including the transport of military equipment and heavy machinery;
• the development and potential use of dual-use resources that can be utilized for both civilian and military purposes;
• the possibility of using the Company’s terminal and siding infrastructure, as well as its traction resources—including locomotives capable of operating on non-electrified lines—for defense purposes;
• cooperation in developing transport and logistics capacity related to the needs of the Polish Armed Forces;
• the use of PKP CARGO’s safety and communications solutions for military transport;
• developing cooperation in the area of rapid response to crises.

The Ministry of National Defense has pledged to cooperate on PKP CARGO’s activities related to the development of resources used for dual-use transport operations, including potential investment projects that may involve applying for funding to meet national defense needs. In particular, this cooperation may include projects related to the mobility of heavy military equipment and the security of rail transport for military units both within the country and abroad.

The agreement was concluded in light of the Company’s existing cooperation with the Polish Armed Forces, which includes the provision of rail transport services and logistical support for military shipments, taking into account PKP CARGO’s position as the largest domestic rail carrier in the freight transport sector.

The agreement has been entered into for an indefinite period, subject to termination by either Parties upon three months’ notice; it is a framework agreement and does not specify the financial obligations of either Parties, nor does it create an obligation to enter into specific implementing agreements. Any specific undertakings, projects, or mutual settlements will be the subject of separate agreements and contracts to be concluded between the Parties in the future.

In the opinion of the Administrator and the Company’s Management Board, the conclusion of the Agreement is significant in light of PKP CARGO’s role in the national logistics security system and will lead to the Company’s further development in the area of specialized rail transport and logistics services.
