Decision of the Judge-Commissioner on expressing consent to withdraw from the mutual agreement

Management Board of PKP CARGO S.A. in restructuring (“Issuer”, “Company”), with reference to current report no. 26/2024 of June 11, 2024, today received information about the issuance on April 19, 2025 of a Resolution by the Judge-Commissioner pursuant to art. 298 sec. 1, 2 and 3 of the Restructuring Law, taking into account the Administrator’s request in full, expressing consent for the Administrator to withdraw from the mutual agreement, i.e. the Agreement on the mutual obligations of the parties to the Company Collective Labor Agreement for Employees Employed by PKP Cargo S.A. Companies concluded on February 14, 2005 (“Valentine’s Agreement”) together with subsequent annexes to this Agreement.

The Valentine’s Agreement, in accordance with the Management Board’s decision, was terminated on June 11, 2024, upon expiry of the 24-month notice period falling on June 11, 2026.

In accordance with the said Resolution, the Judge-Commissioner agreed to the Administrator’s withdrawal from the Valentine’s Agreement with effect from the date of opening of the Company’s restructuring proceedings, i.e. from 27 July 2024.

The Resolution is not final. The Issuer will inform about significant decisions in this regard in the form of a current report.
